1. Acceptance of Terms

By accessing or using Livermore AI ("the Platform", "we", "us", or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the Platform.

2. Description of Service

Livermore AI is an AI-powered algorithmic trading platform that enables users to:

  • Create trading strategies through natural language conversation
  • Backtest strategies on historical market data
  • Deploy strategies for paper trading (simulated)
  • Connect to Alpaca Markets for live trading (requires separate Alpaca account)

3. Account Registration

To use certain features of the Platform, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and account
  • Accept all responsibility for activities under your account
  • Notify us immediately of any unauthorized use

4. Trading Risks

IMPORTANT: Trading involves substantial risk of loss and is not suitable for all investors.

You acknowledge and agree that:

  • No Guarantees: Past performance does not guarantee future results. All trading strategies, including those generated by Livermore AI, can result in losses.
  • Your Responsibility: You are solely responsible for all trading decisions made using the Platform. We do not provide investment advice.
  • Paper vs. Live Trading: Paper trading uses virtual money and may not accurately reflect real market conditions, slippage, or fees.
  • Third-Party Integration: When connecting to Alpaca Markets or other brokers, you are subject to their terms of service and fee structures.

5. Alpaca Markets Integration

If you choose to connect your Alpaca Markets account:

  • You authorize Livermore AI to access your account information and place trades on your behalf
  • You remain responsible for all trades executed through the Platform
  • You can revoke access at any time through Settings or your Alpaca dashboard
  • We do not store your Alpaca username or password (OAuth is used for secure access)
  • Alpaca does not warrant or guarantee that Livermore AI will work as advertised or expected

6. Intellectual Property

The Platform, including all content, features, and functionality, is owned by Livermore AI and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of:

  • Trading strategies you create
  • Your account data and trading history
  • Any content you submit to the Platform

7. Prohibited Uses

You agree not to:

  • Use the Platform for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Platform or other user accounts
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Use automated systems (bots, scrapers) without our written permission
  • Manipulate markets or engage in fraudulent trading activities
  • Share your account credentials with others

8. Subscription and Payments

Livermore AI offers both free and paid subscription tiers:

  • Free Plan: Includes unlimited paper trading and backtesting with all features
  • Paid Plans: Include additional features such as live trading access and priority support (when available)

For paid subscriptions:

  • Subscriptions are billed monthly unless otherwise stated
  • You may cancel at any time; cancellation takes effect at the end of the current billing period
  • Refunds are provided at our discretion on a case-by-case basis
  • We reserve the right to change pricing with 30 days' notice

9. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

  • The Platform will be uninterrupted, timely, secure, or error-free
  • Results obtained from the Platform will be accurate or reliable
  • Any errors in the Platform will be corrected
  • Trading strategies will be profitable

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMETHEUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

This includes but is not limited to:

  • Trading losses resulting from use of the Platform
  • Loss of data or account access
  • Service interruptions or downtime
  • Errors in backtesting or strategy execution

12. Indemnification

You agree to indemnify and hold harmless Livermore AI, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your trading activities

13. Termination

We reserve the right to:

  • Terminate or suspend your account at any time for any reason
  • Refuse service to anyone at our discretion
  • Remove or disable access to any content

Upon termination:

  • Your right to use the Platform immediately ceases
  • We may delete your account and data
  • You may request a data export within 30 days

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting the new Terms on the Platform
  • Updating the "Last Updated" date
  • Sending an email notification (for significant changes)

Your continued use of the Platform after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through:

  • First, good faith negotiation between the parties
  • If unresolved, binding arbitration in accordance with applicable arbitration rules

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Livermore AI regarding the use of the Platform.
